Terms

Terms of service.

Starter template. Replace with a counsel-reviewed version before any public marketing push. This document was written by the founding team to set the tone; it has not been reviewed by a lawyer.

These terms govern your use of the Stratum platform (“Stratum,” “we,” “us”). By creating an account or using the site you agree to them. If you do not agree, do not use the platform.

1. Who can use Stratum

You must be at least 18 years old and able to enter into a binding contract. Talent accounts are for individual professionals; employer accounts are for organizations that authorize the signed-in person to act on their behalf. One account per person.

2. Your account

You are responsible for what happens under your account. Keep your sign-in credentials private. If you suspect unauthorized access, email security@stratum.work right away. We reserve the right to suspend or terminate accounts that violate these terms.

3. Accuracy of information

Everything you submit — credentials, dates, institutions, work samples, letters — must be true and yours. We verify a meaningful share of submissions against issuing institutions and with the supervising clinicians, employers, or faculty named in your file. Misrepresentation is grounds for immediate removal from the platform and, where appropriate, referral to the issuing authority.

4. Prohibited uses

You agree not to:

  • Submit credentials, licenses, or work samples that are forged, altered, or belong to someone else.
  • Use the platform to discriminate against any candidate on a basis protected by US federal, state, or local law.
  • Scrape, copy, or republish the platform's content (anonymous profile cards, citations, rubrics) without written permission.
  • Probe, scan, or attempt to bypass our security or rate limits, or use the platform to send spam or malware.
  • Use the platform to attempt to evade the matching process — for example, by soliciting talent off-platform to avoid engagement fees.

5. Our role — what Stratum is and isn't

We are an introduction and vetting platform. We do not employ talent. Employers do. When an introduction leads to a hire or a contract, the legal relationship is between the employer and the talent. We provide tooling, vetting, and an introduction; we are not party to the employment contract and we do not act as a co-employer.

6. Fees

Stratum is free for talent. We do not charge applicants for vetting, profile creation, or introductions. Employers pay a fee set in the engagement agreement for each successful introduction — typically a percentage of the engagement value rather than a markup on hours. Fee terms are stated in the engagement letter you sign before an introduction is released.

7. Termination

You can delete your account at any time from the settings page. Deleting a talent account removes your profile, credentials, work samples, and assessments from the public site and the employer matching pool; we keep a minimum record where required by law or where an introduction is in flight. We may terminate or suspend accounts that violate these terms, with notice when practical.

8. Disclaimers and limitation of liability

The platform is provided “as is.” We make no warranty that an introduction will lead to a hire, that a hire will lead to a successful engagement, or that an employer's representations are accurate. To the maximum extent permitted by law, our aggregate liability for any claim arising out of your use of the platform is limited to the greater of (a) fees we received from you in the 12 months before the claim or (b) USD $100.

9. Disputes and governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising under them will be resolved in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there. Nothing in this section waives any rights you have under the law of your home jurisdiction that cannot be waived by contract.

10. Changes

We may update these terms. Material changes will be announced by email to active accounts and at the top of this page. Continued use of the platform after the change takes effect means you accept the new terms.
